Terms & Conditions

The agreement between you and Dhundhlo when you use our website, app or services.

These Terms & Conditions (the “Terms”) are a legally binding agreement between you (“you”, “user”, whether a shopper or a shopkeeper) and Dhundhlo, a sole proprietorship based in Pakistan (Dhundhlo, “we”, “us”, “our”), governing your access to and use of the dhundhlo.com website, our progressive web app, and all related features and services (together, the “Platform”).

Please read these Terms carefully. By creating an account, ticking the “I agree” box, or otherwise accessing or using the Platform, you confirm that you have read, understood and accept these Terms and our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Platform.

1.Acceptance of these Terms

By accessing or using the Platform you accept these Terms. Under the Electronic Transactions Ordinance, 2002 and the Contract Act, 1872, your acceptance — whether by clicking “I agree”, registering an account, or continuing to use the Platform — forms a valid and enforceable electronic contract with the same legal effect as a written signature.

We may issue additional or product-specific terms (for example for paid services, promotions or the shopkeeper bundle). Where they apply, those terms form part of this agreement, and if they conflict with these Terms the product-specific terms prevail for that product.

You agree to comply with all applicable Pakistani digital and electronic-commerce laws, including without limitation the Electronic Transactions Ordinance, 2002, the Prevention of Electronic Crimes Act, 2016 (as amended by the Prevention of Electronic Crimes (Amendment) Act, 2025), and the Digital Nation Pakistan Act, 2025, together with any regulations issued by the Pakistan Digital Authority or other competent authority.

2.Definitions

  • “Shopkeeper” — a business or individual that lists a shop, products, services, offers or contact details on the Platform.
  • “Shopper” — a user who browses, searches, saves, reviews, or contacts shops through the Platform.
  • “Listing” — any shop profile, product, price, photo, offer, location, hours, review or other content displayed on the Platform.
  • “User Content” — anything you submit, upload or post, including listings, reviews, ratings, photos, and messages.
  • “Transaction” — any sale, purchase, booking, enquiry, payment, delivery or other dealing between a Shopper and a Shopkeeper.
  • “Dhundhlo Personnel” — the owner, directors, officers, employees, contractors, agents and representatives of Dhundhlo acting in the course of their duties for the Platform.

3.About Dhundhlo

Dhundhlo is an AI-powered local-commerce discovery platform that helps people across cities, towns and localities in Pakistan find shops, products and services, read information about them, and reach them directly — typically by phone, WhatsApp or by getting directions.

The Platform is a directory and search tool. It does not, in Phase 1, provide a shopping cart, online checkout, payment processing, escrow or delivery. Any Transaction you choose to enter into happens directly between you and the Shopkeeper, off-Platform and on terms agreed between you.

4.Our role — a neutral platform, not a party to your transactions

Dhundhlo acts solely as a neutral technology intermediary that displays Listings and connects Shoppers with Shopkeepers. We are not a seller, buyer, manufacturer, distributor, agent, broker, or party to any Transaction, and we do not own, inspect, handle, store, deliver or guarantee any product or service listed on the Platform.

  • Listings, prices, descriptions, photos, availability, hours and contact details are provided by Shopkeepers. We do not create, verify, endorse or guarantee them, and a “verified”, “featured” or “top-rated” label does not amount to a warranty or endorsement by us.
  • We are not responsible for the quality, safety, legality, accuracy, pricing or delivery of any product or service, nor for a Shopkeeper’s conduct, honesty or ability to complete a Transaction.
  • Any contract for a product or service is formed exclusively between the Shopper and the Shopkeeper. You deal with each other entirely at your own risk.

5.Eligibility & account registration

You must be at least 18 years old, or the age of majority where you live, and legally capable of entering into a binding contract, to use the Platform or create an account. If you use the Platform on behalf of a business, you confirm you are authorised to bind that business to these Terms.

When you register you agree to provide accurate, current and complete information and to keep it up to date. You may sign in using email, phone or a third-party provider (such as Google); your use of those methods is also subject to the relevant provider’s terms.

The Platform is not directed at persons under the age of 18. If you are under 18 you must not create an account or submit any personal information, including through general browsing. If we become aware that a user under 18 has created an account, we may close it and delete the associated data. Parents or guardians who become aware of unauthorised use by a minor should contact us at [email protected].

6.Your account & security

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us promptly at [email protected] of any unauthorised use or security breach.

We are not liable for any loss arising from someone else using your account, whether or not authorised by you, to the extent permitted by law. We may refuse, suspend or cancel registrations and reclaim usernames at our discretion.

7.Additional terms for shopkeepers & listings

If you list a shop, products or services on the Platform, you additionally agree that:

  • You have the full legal right and all licences, registrations and permissions required to sell or offer everything you list, and your Listings, products and business comply with all applicable laws of Pakistan (including tax, weights-and- measures, food-safety, drug, and trade laws, and applicable provincial and federal consumer-protection legislation such as the Punjab Consumer Protection Act, 2005 and its amendments, or the equivalent provincial law where applicable). You — and not Dhundhlo — are responsible for honouring advertised prices and descriptions and for any consumer-protection liability arising from your dealings.
  • Your Listings are accurate and not misleading as to price, availability, specifications, condition, or origin, and you will keep them current. You are solely responsible for honouring the prices and offers you publish.
  • You will not list prohibited, counterfeit, stolen, unsafe, or unlawful goods or services (including anything restricted under Pakistani law).
  • You alone are responsible for your Transactions, fulfilment, refunds, after-sales support, warranties, complaints, and for charging and remitting any applicable taxes. Dhundhlo is not a party to and bears no responsibility for any of these.
  • You grant Shoppers and Dhundhlo the ability to contact you through the methods you publish (phone, WhatsApp, etc.) and accept that demand, enquiries and outcomes are not guaranteed.

We may edit, re-categorise, rank, de-rank, decline or remove any Listing, and suspend any Shopkeeper, at our discretion — for example for inaccuracy, policy breach, complaints, or legal reasons.

8.Acceptable use & prohibited conduct

You agree not to, and not to allow anyone else to:

  • use the Platform for any unlawful, fraudulent, harmful, defamatory, obscene, harassing or misleading purpose, or in breach of the Prevention of Electronic Crimes Act, 2016 (PECA, as amended by the Prevention of Electronic Crimes (Amendment) Act, 2025) or any other law;
  • post false, fake, paid-for or manipulated reviews or ratings, impersonate any person or business, or misrepresent your affiliation;
  • scrape, crawl, harvest, copy, index or bulk-download Platform data, or use bots, automated tools or our APIs except as we expressly permit;
  • upload malware, attempt to breach, overload, disrupt or reverse-engineer the Platform or its security, or circumvent any access or rate limits;
  • infringe anyone’s intellectual-property, privacy or other rights, or collect other users’ data without consent;
  • resell, sublicense or commercially exploit the Platform or its content without our written permission.

We may investigate and take any action we consider appropriate, including removing content, suspending or terminating accounts, and reporting to and cooperating with law-enforcement and regulatory authorities (including the National Cyber Crime Investigation Agency (NCCIA), the Digital Rights Protection Authority (DRPA), or any other competent authority).

9.Reviews, ratings & user content

You retain ownership of the User Content you submit. By submitting it, you grant Dhundhlo a worldwide, perpetual, irrevocable, royalty-free, transferable and sub-licensable licence to host, store, use, reproduce, adapt, publish, translate, display, distribute and promote that content on and in connection with the Platform and our marketing, in any media.

You are solely responsible for your User Content and confirm you have the rights to submit it and that it is lawful, truthful and not infringing. Reviews must reflect a genuine experience. We do not endorse and are not responsible for User Content, and we may — but are not obliged to — moderate, screen, edit, flag, refuse or remove any User Content at our discretion, without notice. Opinions expressed in reviews are those of their authors, not Dhundhlo.

Notices of infringing or unlawful content

If you believe any content on the Platform infringes your rights or violates these Terms or applicable law, you may notify us at [email protected] with a description of the content, its location on the Platform (for example a link), and the reason removal is requested. We will review the notice and may, at our sole discretion, remove or restrict the content if we determine it violates these Terms or applicable law. In urgent cases we may act without first notifying the person who submitted the content. Submitting a false, misleading or malicious notice is itself a breach of these Terms.

11.Data & privacy

Your use of the Platform involves the collection and processing of personal information. In summary, we collect account details (such as name, email, phone and profile photo), shop and listing details from Shopkeepers, the content you submit (reviews, ratings, photos), and usage, device and (with your permission) location data. We use this information to operate, secure and improve the Platform, to connect Shoppers with Shopkeepers, and to provide any paid services, and we share it only as described in our Privacy Policy (for example with service providers such as Google / Firebase, mapping providers and payment processors, or where required by law).

Usage and analytics data is retained for a limited period and then deleted or anonymised, and you have rights to access, correct and delete your information. How we handle personal data, how long we keep it, and how to exercise your rights are set out in full in our Privacy Policy, which forms part of these Terms. By using the Platform you consent to that processing.

12.Fees, paid services & our right to monetise

Much of the Platform is currently offered free of charge. This is not a commitment that it will remain free. We expressly reserve the right, at any time and at our sole discretion, to:

  • introduce, price, change, bundle, discontinue or charge fees for any feature, listing, placement or service— current or future — including subscriptions, “verified” or “featured” badges, promoted/boosted placements and advertising, premium analytics, premium content, the shopkeeper website bundle, transaction or referral commissions, and any other paid offering;
  • move features that are free today behind a paid plan in the future, and set, vary or remove free usage limits;
  • run promotions, trials and discount codes, and withdraw them at any time.

Where a service is paid, the applicable price, billing cycle, taxes and refund rules will be shown to you before you commit, and your continued use of, or payment for, that service constitutes acceptance. Unless expressly stated, fees are non-refundable. We may use third-party payment processors, and your payments are also subject to their terms. We are not responsible for processor errors, declines or delays.

13.Intellectual property

The Platform, including the Dhundhlo name, logo, software, design, text, graphics, databases, and the selection and arrangement of content, is owned by or licensed to us and is protected by Pakistani and international intellectual-property laws. Except for User Content and Listings owned by their respective contributors, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose. All rights not expressly granted are reserved.

The Dhundhlo name, logo and all related marks are the exclusive property of Dhundhlo, first used in commerce in June 2026. No right to use these marks is granted to any user or third party without our prior written consent.

14.Third-party services & links

The Platform integrates with and links to third-party services — including Google / Firebase (sign-in), mapping and directions providers, WhatsApp, and payment processors. We do not control and are not responsible for those services, their availability, content, security or practices. Your use of them is governed by their own terms and privacy policies, and any dealing you have with a third party is solely between you and them.

Relationship with Hostzeal

Dhundhlo and Hostzeal are separate platforms under common ownership. Use of one platform creates no obligation in respect of the other, and neither platform has any rights over the other’s users, data or operations. Any website, bundle or service offered through Hostzeal is provided under Hostzeal’s own separate terms.

15.Disclaimers — the Platform is provided “as is”

To the fullest extent permitted by law, the Platform and all content and Listings are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy and non-infringement.

We do not warrant that:

  • the Platform will be uninterrupted, secure, timely, error-free, or free of viruses or harmful components;
  • any Listing, price, photo, search result, rating or other information is accurate, complete, current or reliable;
  • any Shopkeeper, Shopper, product or service will meet your expectations, or that any Transaction will be completed.

You use the Platform, and rely on any information obtained through it, entirely at your own risk.

16.Limitation of liability

To the maximum extent permitted by applicable law, Dhundhlo, its owners, directors, employees, partners and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, data, business or opportunity, arising out of or relating to your use of (or inability to use) the Platform, any Listing, any Transaction, or any User Content — whether based in contract, tort (including negligence), statute or otherwise, and even if we were advised of the possibility of such damages.

In particular, we are not liable for any loss or harm arising from: dealings or disputes between Shoppers and Shopkeepers; the acts, omissions, products, services or conduct of any user; inaccurate, misleading or unlawful Listings or User Content; automated/AI search results; or any third-party service.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Platform is limited to the greater of (a) the total fees you actually paid us, if any, in the three (3) months immediately before the event giving rise to the claim, or (b) Rs. 2,000. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the smallest amount permitted by law.

To the fullest extent permitted by law, Dhundhlo Personnel are not personally liable for any act or omission made in the course of their duties for the Platform, including content-moderation decisions, customer-support actions, and Listing management. The disclaimers, limitations and releases in these Terms apply equally for the benefit of Dhundhlo and all Dhundhlo Personnel.

17.Indemnification

You agree to indemnify, defend and hold harmless Dhundhlo and its owners, directors, employees and partners from and against any and all claims, demands, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your Listings, User Content or Transactions; (c) your breach of these Terms or of any law or third-party right; or (d) any dispute between you and another user. We may, at our option, assume the exclusive defence of any matter subject to indemnification, and you agree to cooperate.

18.Transactions & disputes between users and shops

Any Transaction, communication or dispute between a Shopper and a Shopkeeper is solely between them. Dhundhlo is not a party to it, has no obligation to become involved, and disclaims all liability in relation to it. You are responsible for taking reasonable precautions (including verifying the shop, product, price and seller) before transacting. If we choose to assist in resolving a complaint, we do so as a goodwill gesture only and without assuming any liability or duty to do so again. To the extent permitted by law, you release Dhundhlo from any claims arising out of disputes with other users.

19.Suspension & termination

We may, at our sole discretion and without prior notice or liability, suspend, restrict, disable, or terminate your account or any Listing, remove content, or withdraw your access to all or part of the Platform — for any reason, including a suspected breach of these Terms, legal requirements, risk to other users, or discontinuation of a feature. You may stop using the Platform and request deletion of your account at any time. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnity, dispute resolution and governing law) will survive.

20.Changes to the Platform and to these Terms

We are continually improving the Platform and may add, change, suspend or remove features, Listings or content at any time without liability. We may also revise these Terms from time to time. When we make material changes we will update the “Last updated” date and, where appropriate, give notice through the Platform. Changes take effect when posted, and your continued use of the Platform after that constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Platform.

21.Governing law & jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or the Platform (including non-contractual disputes) are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to conflict-of-laws rules. Subject to the arbitration clause below, you irrevocably submit to the exclusive jurisdiction of the courts at Toba Tek Singh and Lahore, Punjab, Pakistan.

22.Dispute resolution & arbitration

Before commencing any formal proceedings, you agree first to contact us at [email protected] and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

If the dispute is not resolved, it shall be referred to and finally settled by arbitration by a sole arbitrator under the Arbitration Act, 1940 (as amended or replaced). The seat and venue of arbitration shall be Lahore, Punjab, Pakistan, the language shall be English, and the arbitrator’s award shall be final and binding. To the extent permitted by law, disputes shall be resolved on an individual basis only, and you waive any right to bring or participate in a class, collective or representative action. Nothing here prevents either party from seeking urgent interim or injunctive relief from a competent court.

23.Complaints about the Platform

If you have a complaint about the Platform itself (as opposed to a dispute with another user), you may contact us at [email protected]. We will endeavour to acknowledge your complaint within five (5) business days and to resolve it within thirty (30) days. This complaint process reflects a good-faith effort only, does not create any legal obligation beyond that effort, and does not waive, limit or vary any of our rights, disclaimers or limitations under these Terms.

24.Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government action, power, internet, hosting or telecommunications failures, failures of third-party services, and failures, degradation or unavailability of third-party artificial-intelligence models, APIs or machine-learning infrastructure on which the Platform’s search and recommendation features depend.

25.General

  • Entire agreement. These Terms, together with the Privacy Policy and any product-specific terms, are the entire agreement between you and us and supersede all prior understandings.
  • Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be replaced by a valid one that most closely matches its intent.
  • No waiver. Our failure to enforce any right or provision is not a waiver of it.
  • Assignment. You may not assign or transfer these Terms without our consent. We may assign them, including in connection with a merger, acquisition, or sale of assets, without restriction.
  • No agency. No partnership, agency, employment or joint venture is created between you and us.
  • Notices. We may give notice through the Platform or to the contact details on your account; you may contact us using the details below.
  • Language. If we provide a translated version of these Terms and there is a conflict, the English version prevails.
